Business Description

In Latin America, there is a large imbalance between the need (demand) for specialized education and the current number of institutions with this focus (supply). Options are extremely limited for students with learning differences - they tend to be enrolled in mainstream schools that use teaching methods unsuited for their needs which lead to unsuccessful learning outcomes and frustration.

Aurora International Education ("AIE") will acquire or enter into association with small and well-located schools with full accreditation for a K-12 academic offering as well as all required operational licenses. Acquiring real associating with existing schools versus starting with a greenfield effort will provide the Company with significant reduction in time and capital investment.

The Company will take an opportunistic approach, but will concentrate in acquiring schools in cities with total population of over 3 million inhabitants with a robust and growing percentage of high and upper middle-income households that correspond to our target segment.

Over the next three years we will acquire or associate with six (6) schools in the following cities (alphabetical): Bogota (Colombia), Monterrey or Guadalajara (Mexico), Lima (Peru), Medellin (Colombia), Mexico City (Mexico), Monterrey (Mexico), and Santiago (Chile).

Our institutions will specialize in teaching children with the following specific learning differences, which are the most common: Auditory Processing Disorder (APD), Dyscalculia, Dysgraphia, Dyslexia, Language Processing Disorder (LPD), Non-Verbal Learning Disabilities (NVLD), Visual Perceptual / Visual Motor Deficit, Attention Deficit Hyperactivity Disorder (ADHD)/Attention Deficit Disorder (ADD), Executive Functioning, Memory.

AIE intends to pursue the acquisitions/associations in those cities immediately after obtaining initial funding. Our expectation is that the launching of these schools will take approximately 3-6 months.

During the post-acquisition phase, institutions will form an international network that will be the platform for intensive operational and financial synergies by using network-wide best practices. Once the consolidation process is achieved, we believe a positive multiple arbitrage is probable at time of sale. The valuation of an education company with operations in more than one country has historically been higher than single country businesses.
