Laurie has more than 25 years of experience serving as a strategic adviser to companies and their owners, shareholders and investors.
She frequently serves as outside general counsel, advising clients throughout the business lifecycle on mergers and acquisitions, financings, securities transactions, corporate governance and complex contracts. Laurie also advises corporations, limited liability companies and partnerships on owner entrances and exits, restructurings, succession planning and corporate governance.
Laurie assists her clients with venture capital and other financings and with securities transactions involving stock, debt and options, and equity alternatives such as phantom stock plans. In addition, Laurie has worked with her clients on complex software licensing transactions, sophisticated joint venture arrangements and other types of commercial agreements.
Before Fox Rothschild
Prior to joining Fox Rothschild, Laurie was partner at a California law firm. She began her legal career as an associate in the corporate departments of national and international law firms in San Francisco and on the East Coast.
Beyond Fox Rothschild
Laurie serves on the steering committee for mergers and acquisitions with IR Global and has been an attorney mentor to student teams through U.C. Hastings’ Startup Legal Garage. She is a frequent speaker, CLE presenter and panel moderator.
