Show more +Mr. Larrain is a Founding and Co-Managing Partner of NLD in Santiago, Chile. He obtained a law degree at Universidad de Chile Law School in 1990 and an LL’M degree at Duke University in 1997.
Mr. Larrain concentrates his practice in corporate matters and mergers & acquisitions. He has participated in several public and private acquisitions of companies and/or assets, located in Chile and abroad, representing both buyers and sellers. Notably, he has represented the Chilean Government in the two largest privatizations of sanitary and waste treatment companies in Chile. Mr. Larrain has also advised several private equity funds in the acquisition and sale of companies in Chile and Latin America. Among these he has represented Linzor Capital Fund in the acquisition and subsequent sale of a cinema company in Chile, and in the acquisition and subsequent public offering of a health insurance company in Chile; Palmfund Management LLC in the acquisition of Lexis Nexis in Chile and Argentina and in the subsequent sale of such business; Riverwood Capital Fund in the acquisition of Synapsis, an IT company with operations in Chile, Brazil, Argentina and Colombia; and other regional private equity firms. He also represented Ernst & Young Global in the acquisition of the former Arthur Andersen practice in Chile, Apollo Global in the acquisition of a private university in Chile, Madeco S.A. in the sale of the wire & cable business in Chile, Argentina, Brazil, Colombia and Peru in US$800 million approximately Cascal in the acquisition of sanitary and waste treatment companies in Chile, Zurich in the acquisition of the insurance business of Euroamerica, Waterlogic in the acquisition of several companies in Latin America and Emergent Cold in the acquisition of Friopacífico Fort.
During 1997, Mr. Larrain practiced with Morrison and Foërster LLP (Washington, D.C.) and in 1998 with Cleary, Gottlieb, Steen & Hamilton (New York).
He has been a professor of “Mergers & Acquisitions” at the Master of Business Law Program of the Universidad Católica de Chile School of Law.
