GESSEL advises Enterprise Investors on its investment in BISAR S.A.

Polish Enterprise Fund VIII, one of the funds managed by Enterprise Investors, will take a 40% stake in BISAR S.A. – a dynamically growing process outsourcing company established in 2015, presently expanding into new markets around Central and Eastern Europe – for a capital commitment of PLN 125 million.

GESSEL advised Enterprise Investors on various aspects of this complex project, performing due diligence, drawing up and negotiating the transaction documents, and preparing the antitrust filing (finalisation of the transaction remains contingent upon clearance from UOKiK).

Marcin Macieszczak, our managing partner, led a multidisciplinary team whose members included Michał Boryczka, managing associate (coordinator of the due diligence studies), Krzysztof Jasiński, managing associate and Diana Strzałkowska, senior associate (working on the transaction documentation), and Bernadeta Kasztelan-Świetlik, partner and Karolina Olszewska, associate (working on the antitrust aspects).

Enterprise Investors, whom GESSEL is proud to count among its clients of long standing, is a leading private equity firm focused on Central and Eastern Europe. Active since 1990, EI currently manages nine funds which have invested and committed a total of EUR 2.2 billion, taking stakes in 152 companies and effectuating 136 exits (many of these investments and subsequent exits involved GESSEL as counsel).
