Extended delays to hold annual general meeting and file annual accounts

By a new law adopted on May 22, 2020 and published on May 29, 2020 (hereinafter the “Law”), the Luxembourg parliament decided to extend for three months the deadline for filing / publishing annual accounts, consolidated accounts and that reports relating thereto and the sanctions relating thereto with regard to directors / managers, as referred to by the amended laws (i) of August 10, 1915 concerning commercial companies and (ii) of December 19, 2002 concerning the commercial register and companies as well as the accounts and annual accounts of companies. The Law comes into force on the day of its publication in Memorial A.

The same Law allowed the companies subject to the approval of their annual / consolidated accounts to hold their annual general meeting within 9 month of the end of the financial year (i.e. up to October 31, 2020 for companies closing their accounts on December 31, 2019).

The scope of the Law is limited to the sole annual general meetings and annual / consolidated accounts and the reports related thereto, for periods closing no later than the date of the end of the state of crisis, and for which the deadlines for their approval or filing / publication had not expired by March 18, 2020.
