First joined GESSEL in February 1999, became a partner in January 2007; as of 2017, leads the firm as its managing partner while continuing to oversee the work of GESSEL’s M&A team.
Specialises primarily in equity transactions on the private and public markets and mergers and acquisitions. He has many year experiences in legal servicing of M&A transactions, both on the buyer and seller sides.
A key element of Marcin Macieszczak’s practice comprises cooperation with private equity and venture capital funds; he advises in the formation stages (securing finance, designing the legal structure of the fund) as well as in specific transactions, especially in buy-outs, expansion capital deals, and in exits (trade sales to strategic investors, sales to financial investors, IPOs).
Marcin Macieszczak also specialises in structuring and executing leveraged buy-outs. His M&A work has covered all the stages of complex transactions (including cross-border projects), from conceptualising and optimising the legal and tax structures and coordinating due diligence through drafting the transaction documentation and securing antitrust clearance and other requisite administrative authorities. Marcin Macieszczak also advises on restructuring and corporate issues and on real estate. Of the 300-plus M&A transactions on which GESSEL has advised, Marcin himself was involved in over 100.
Since 2013, recommended in international rankings, e.g. by Chambers Europe, Chambers Global and Legal 500 in the field of corporate / M&A and private equity, which noted his professionalism, expertise, integrity and maturity in negotiations and meticulous work in transaction documentation.
