Karol Sokół is a partner at GESSEL specialising in mergers and acquisitions. He has extensive experience advising on asset and share transactions, restructuring transactions, and financial matters. He has advised on a number of high-profile transactions for buyers and sellers in various industries, including IT, manufacturing, retail, and real estate. He has also worked with banks, private equity houses, and venture capital funds.
Karol works with Polish and international funds and international banks and advises at all stages of complex transactions (on the buyer and seller sides) on share deals, asset deals, and corporate restructuring. His clients include founders and listed companies.
To any transaction, Karol contributes excellent analytical skills and extensive knowledge of various legal fields. He has repeatedly demonstrated his talent for complex negotiations, arriving at solutions satisfactory to all the parties and then duly reflecting them in the transaction documents. He has led restructuring projects involving bank debt buyouts and leveraged buyouts and advised on representations and warranties liability mechanisms, including those based on W&I insurance.
