Erandi leads the Corporate, Commercial and Company Secretarial departments of the firm.

Her areas of expertise include mergers & acquisitions, joint ventures, corporate restructuring, cross-border transactions, amalgamations, drafting and reviewing commercial documents, providing advice on foreign investment, and general legal advice on doing business in Sri Lanka. She also has extensive experience in conducting legal and secretarial due diligence on target companies prior to a merger and/or an acquisition.

Prior to joining the Firm, Erandi served as an Associate at Varners, a Law Firm in Colombo, for a period of 5 years and now continues to be a Consultant at the firm.

She has been involved in advising and acting for a wide array of clients ranging from MNCs, listed companies and private companies, private equity funds, public-private partnerships in Sri Lanka, companies engaged in the business of non-renewable energy, telecommunication companies, banks and other financial institutions, education providers and other local and international firms.

She has been involved in advising and acting for a wide array of clients, including MNCs, listed companies and private companies, private equity funds, public-private partnerships in Sri Lanka, companies engaged in the business of non-renewable energy, telecommunication companies, banks, and other financial institutions, education providers and other local and international firms. During her stint at Varners, she:

• negotiated the settlement terms for a UK based global mining group to exit a mining JV set up in Sri
  Lanka with local investors to conduct mining consultancy, mechanized mining, finishing, and endproduct
  marketing activities, and drafted the settlement and termination agreement for this purpose.
• concluded a transaction wherein a Singapore based Joint Venture Company was established between
  a private family office and a Singapore based company, consolidating the local and foreign assets of
  the joint venture partners and in this regard drafted the joint venture agreement, share purchase
  agreement, shareholders’ agreement, share subscription agreement and other relevant transaction
  documents
• pursuant to drafting and entering into a Term Sheet by a company listed on the Colombo Stock
  Exchange and the respective sellers, carried out legal due diligence on a group of companies engaged
  in a diversified range of business activities in ship and crew management, crew supply, crew training,
  and agencies for the shipping industry and drafted the relevant transactions documents
• on behalf of a Singapore based entity, led the legal team in conducting legal due diligence (including
  corporate secretarial and title due diligence) on a number of BVI Companies and several of its local
  subsidiaries that own a number of landed properties and drafted the necessary transaction documents.
• conducted legal due diligence on a company engaged in providing tertiary education with foreign
  university affiliations on the instructions of a company listed on the stock exchange, and drafted the
  transaction documents such as the share purchase agreement.
• carried out legal, due diligence on a local subsidiary of an IT Consulting Firm headquartered in the USA
  and prepared a due diligence report on the instructions of foreign law firm based in the UAE,
• led the team under the direction of the Senior Partner in structuring and advising a Singapore-based
  Private Equity Fund in the acquisition of a diversified group of companies engaged in the businesses of
  media and broadcasting, jewelry, films and theatres, hotel owners, and operators, and drafted the
  share purchase agreement, disclosure letters, and such other relevant supporting documents,
• conducted due diligence on a leading listed insurance company in Sri Lanka, on the instructions of a
  Japanese entity and advised on the applicable laws proposing to increase its existing shareholding in
  the target company.
• advised the shareholders of one of the leading automotive paint manufacturing
  companies in the negotiations, structuring of the transaction, reviewing and
  commenting on the Sale and Purchase Agreement and Disclosure Letter on behalf of the sellers
• performed the due diligence and advised a leading emerging markets investment firm in the acquisition
  of a minority stake in the microfinance arm of one of Sri Lanka’s leading banks, including advising and
  reviewing the transaction documents.
• performed the due diligence and assisted the Japanese International advertising and public relations
  company headquartered in Tokyo in the acquisition of one of the leading advertising companies in Sri
  Lanka and also assisted in reviewing the transaction documents.
• advised one of the largest state-owned Commercial Banks based in China in the setting up of a Branch
  Office in Sri Lanka and continued to provide legal assistance to the bank in their day-to-day legal
  requirements on regulatory matters, employment-related matters, operations of the branch office,
  and other general legal advice required.

Erandi has read for a Bachelor of Laws from the University of London (Second Upper) and a Master of Laws from the University of Melbourne. She was called to the Bar as an Attorney at Law of the Supreme Court of Sri Lanka in the year 2014.
